ARTICLE VIII COMMITTEE
SECTION 1.0 AUDIT COMMITTEE - The president shall appoint an Audit Committee of three members to function pursuant to ARTICLE IV SECTION 6.5.
SECTION 2.0 EXECUTIVE COMMITTEE - There shall be an Executive Committee which shall consist of the President, as chairperson, the Vice President, the Secretary, the Treasurer and the immediate Past President. 2.1 POWERS: This committee shall have the authority, by a majority vote, to exercise all the powers of the board any time a quorum shall fail to attend a Board meeting and / or whenever the Board shall not be in session. The Executive Committee shall have further powers as delegated by the Board. It's actions shall be reported to and shall be subject to review of the Board. 2.2 CONFIRMATION OF ACTION: All actions of the Executive Committee must be confirmed by the Board at the next regularly scheduled meeting or become null and void.
SECTION 3.0 PROJECT COMMITTEES: Project Committees may be established by the President for the purpose of providing advisable or necessary function of operations and carrying out specific projects. 3.1 POWERS: The purpose, duty and responsibility of such committees shall be specifically designed in notice from the President. Their general function shall be to investigate, to make recommendations, and to take any advisable or necessary action to accomplish these activities. 3.2 REPORTS -All committees are required to keep records of their proceedings and report them to the President upon request. 3.3 AUTHORITY TO BIND CHAMBER: No committee shall represent or commit the Chamber in advocacy or opposition to any project without the specific authority of the Board unless clearly granted in it's powers to exist. No action or resolution of any committee, unless specifically granted, shall be binding upon the Chamber or expressive of the sense of the Chamber. 3.4 DEBTS - No Committee or any member thereof, except the Executive Committee shall contract any debt in it's behalf to the Chamber unless granted in it's powers to exist. 3.5 TERMINATION - The authorization for the continuance of any committee shall terminate with the end of the fiscal year but may be continued at the will of the President. 3.6 MEETINGS - Meetings may be called at any time by the President or it's chairperson.
ARTICLE IX INDEBTEDNESS
SECTION 1.0 DEBTS: No member of the Chamber shall contract any debt in his, hers or its behalf which shall in any manner or to any extent render the Chamber liable for the payment of any sum or for any obligation, unless the same shall be authorized by the Board. 1.1 SPENDING: The Chamber shall use it's funds to accomplish the objectives and purposes specified in these by-laws. 1.2 No part of the Chamber funds shall insure or be distributed to any member of the Chamber.
